Terms and Conditions

1. Parties

All references to "TIH" mean TIH Industries LLC, its websites at tihindustries.com and related subdomains, and its authorized representatives. You agree to notify TIH within seven (7) days if your legal name, tax status, or account ownership changes. Notice to contact@tihindustries.com.

2. Registration and Eligibility

You agree to provide complete and accurate information at registration. The Program is open only to individuals aged 18 or older who are legal residents of the fifty (50) United States, the District of Columbia, or any other jurisdiction where participation is not prohibited by law. Employees of TIH and their immediate family and household members are not eligible.

There is no cost to join the Program.

W-9 Collected at Signup

A completed IRS Form W-9 is collected as part of your application, not at payout. TIH uses this information solely for tax reporting and payout processing, and will issue Form 1099-NEC where required by law. Collecting it at signup means no payout is delayed by missing tax documentation.

Your taxpayer identification number is stored only as long as required for tax reporting and recordkeeping, is disclosed only to the payment and tax providers TIH uses to process payouts and file required returns, and is never sold, shared for marketing, or used for any purpose outside this Program.

Applications are reviewed and tracking links issued within two (2) business days. Approval is at TIH's sole discretion and is not guaranteed.

3. Consent to Be Contacted

You expressly consent to be contacted at the email address and phone number you provide, including by text message and automated means, by TIH or third parties acting on TIH's behalf, for purposes related to the Program and TIH services.

4. Eligible Offers

The Program covers TIH offers a customer can purchase directly online without a sales consultation. As of the date these Terms were last updated, the eligible offers are:

Not Eligible

The following are not eligible for an affiliate payout under these Terms, because they are scoped and quoted directly with the client rather than purchased online: custom Foundation Build engagements, multi-company Build Out engagements, event strategy and full event production services, and ongoing retainers.

The TIH Five Red Flags Quiz at webinar.tihindustries.com/tihcollective-clarity-quiz is free and carries no payout. It remains the recommended first share, because it identifies what a business needs before any price is discussed.

5. The Collective Payout

"The Collective Payout" is the amount TIH pays you on a qualifying purchase. Every affiliate payout is a flat, published amount rather than a percentage.

The published amounts are calculated on the net amount TIH actually receives, after payment processing fees and before taxes. Nothing further is deducted from your payout.

Build Fees and Monthly Plans Are Separate

Where a build offer is followed by a monthly plan, the payout applies to the build only. The customer's ongoing monthly plan does not generate an additional payout.

Refunds, Disputes, and Chargebacks

TIH may withhold or adjust any payout for a transaction that is refunded, charged back, disputed, fraudulent, or non-compliant. If a refund or chargeback occurs after a payout has been paid, TIH may deduct the corresponding amount from future payouts or require repayment within thirty (30) days of written notice.

Rate Changes

TIH may add, remove, or change eligible offers and payout amounts at any time, effective immediately upon publication of the updated Terms. Advance written notice is not required. Changes apply prospectively only: a qualifying purchase completed before a change is published is paid at the amount in effect at the time of that purchase.

6. Tracking, Credit, and Attribution

120-Day Tracking Window

When someone clicks your unique tracking link, you have one hundred and twenty (120) days to receive credit for that click. If they complete a qualifying purchase within that window, the sale is attributed to you. Purchases occurring more than 120 days after the click are not payable under that click.

When Two Links Are Involved

If a customer clicks tracking links belonging to more than one Affiliate before purchasing, credit is attributed to the most recent qualifying link clicked before the purchase was completed. TIH's tracking record is the sole determination and is final.

Earning Credit

To receive credit you must be an approved Affiliate in good standing, and the purchase must be completed through your unique tracking link. You will not receive credit for:

• Self-purchases, or purchases by any entity in which you hold a direct ownership interest
• Purchases by an organization where you are a direct deciding authority for that purchase
• Transactions where TIH's tracking system does not attribute the sale to your link
• Purchases that are canceled, refunded, or charged back

Missing credit must be reported to TIH within thirty (30) days of the transaction date.

7. Payout Timing and Method

Free trial periods do not generate a payout. A payout arises only where the customer has paid and TIH has cleared that payment.

Minimum payout threshold: $150.00. Balances below $150.00 accumulate and carry forward until the threshold is met.

Payment is made by ACH, Zelle, or wire transfer. TIH does not issue paper checks under any circumstances.

Where a customer pays for a build in installments, the full flat payout is released thirty (30) days after TIH receives and clears the final installment, not in fragments across each payment. If the customer defaults before completing the installment plan, no payout arises on that transaction.

8. Conduct and Advertising Rules

a. Compliance with Laws

You will comply with all applicable federal, state, and local laws, including the FTC Endorsement Guides (16 CFR Part 255), CAN-SPAM, the TCPA, and Texas consumer protection standards.

b. Required Disclosure

In every post, email, video, livestream, podcast, message, or advertisement where you promote TIH, you must disclose clearly and upfront: that the content is promotional, that you are an independent Affiliate and not an employee or agent of TIH, and that you may receive compensation if someone purchases through your link.

"Full transparency: I'm an affiliate for TIH Industries. If you purchase through my link, I may receive a commission."

• On social media, place a clear tag such as #ad, #sponsored, or #affiliate in the visible portion of the post, above the link and above any "see more" fold
• In video and audio content, state the disclosure out loud early in the content. A caption or description alone does not satisfy this requirement
• Reactive disclosure, meaning disclosing only when asked, does not satisfy this requirement

Failure to disclose forfeits The Collective Payout for that sale and may result in removal from the Program.

c. Where You May Promote

Public promotion is permitted and encouraged, including social feeds, short-form video, long-form video, podcasts, livestreams, newsletters, private communities, and client communications. All channels carry the same disclosure requirement.

d. Approved Materials

Use only TIH-provided or TIH-approved marketing materials. Do not alter TIH logos or brand elements without prior written approval. Remove any content TIH identifies as non-compliant within forty-eight (48) hours of notice.

e. Accurate Representation

Represent TIH, its leadership, and its brands accurately and professionally. Do not misrepresent TIH's services, pricing, qualifications, or outcomes.

f. No Income or Outcome Guarantees

You may not promise, guarantee, or represent that any TIH offer will produce a specific income or result. If you share your own experience, include the following or a substantially similar statement:

"These were my results. Your results will vary. There is no guarantee you will earn any specific amount or achieve any specific result."

g. No Legal, Tax, or Professional Advice

TIH provides business strategy and operational advisory. It does not provide individualized legal, tax, insurance, or investment advice. You may not represent TIH content as a substitute for advice in any licensed field.

h. No Disparagement

You will not make disparaging, defamatory, or knowingly false statements about TIH, its officers, employees, contractors, or partners during or after your participation. Violation entitles TIH to seek damages, injunctive relief, and attorneys' fees.

i. Prohibited Content

Promotional content may not contain unapproved copyrighted material, sexually explicit or violent content, content that is illegal or promotes illegal activity, discriminatory content, or competitor trademarks used without permission.

j. Prohibited Technical Conduct

The use of automated scripts, click injection, cookie stuffing, or any technical method to artificially intercept, redirect, or claim credit for organic TIH web traffic or sales is strictly prohibited. Any Affiliate engaging in such conduct is subject to immediate termination, forfeiture of all earned and pending payouts, and potential civil legal action. TIH will pursue all available remedies.

9. Prizes and Incentives

TIH may offer additional prizes, bonuses, or promotional incentives from time to time, communicated in writing. Prizes are non-transferable, have no cash value unless expressly stated, and TIH may substitute a prize of equal or greater value at its sole discretion.

10. Intellectual Property

• TIH retains exclusive ownership of all trademarks, logos, copyrights, methodologies, and intellectual property associated with TIH Industries and all related brands.
• Approved Affiliates receive a limited, revocable, non-transferable, non-exclusive license to use TIH-provided materials solely to promote eligible TIH offers. The license terminates immediately upon termination of your participation.
• You may not use TIH's intellectual property in any URL, domain name, or social media handle, or to market your own products or services.
• Content you create to promote TIH is subject to a perpetual, royalty-free, worldwide license to TIH for marketing use. You retain ownership of your original content.

11. Term and Termination

Either party may terminate participation at any time with written notice. TIH may terminate immediately and without notice for breach of these Terms, fraudulent activity, reputational harm, violation of applicable law, use of prohibited technical methods, or a chargeback or dispute rate exceeding two percent (2%) of your attributed transactions.

12. Restrictive Covenants

During your participation and for three (3) months after termination, you shall not: directly or indirectly solicit or divert any known TIH client for competing services; intentionally interfere with TIH's business; or induce any TIH employee or contractor to terminate their relationship with TIH. TIH is entitled to injunctive relief for violations, plus attorneys' fees and costs.

13. Confidentiality

Non-public information disclosed by TIH is confidential and remains TIH's exclusive property. Use it only for your role as an Affiliate, do not disclose it to third parties, and return or destroy it upon request or termination. These obligations survive termination without time limitation.

14. Independent Contractor

You and TIH are independent contractors. Nothing in these Terms creates an employer-employee, agency, partnership, or joint venture relationship. You have no authority to bind TIH and are solely responsible for your own taxes and expenses.

15. No Warranties

TIH does not guarantee your business success, income, or sales results. The Program is not a business opportunity, franchise, or assisted marketing plan.

You agree to protect, defend, indemnify, and hold harmless TIH, its officers, directors, employees, owners, and assigns from all claims arising out of your conduct as an Affiliate, your breach of these Terms, promotional content you create or distribute, or your violation of applicable law. This provision survives termination.

18. Dispute Resolution

These Terms are governed by the laws of the State of Texas. Any unresolved dispute will be resolved by binding, confidential arbitration administered by the American Arbitration Association in Rockwall County, Texas. Judgment may be entered in any court of competent jurisdiction.

19. Entire Agreement

These Terms supersede any prior written or oral agreement pertaining to your participation in the Program. Where you are also party to a separate TIH partner agreement, that agreement governs activity conducted under it, and these Terms govern all affiliate activity conducted through your tracking link.

20. Modification and Severability

TIH may modify these Terms at any time without advance notice. A modification takes effect when the updated Terms are published on this page with a revised "Last Updated" date, and publication constitutes notice to you. Modifications apply prospectively only and do not reduce a payout already earned on a qualifying purchase completed before publication. You are responsible for reviewing these Terms, and your continued participation after publication constitutes acceptance.

If any provision is found inconsistent with applicable law, it will be modified to the minimum extent required, and the remainder continues in full force.
